1. Acceptance of Terms

By accessing and using Curvvtech's website, services, or SaaS products, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms are governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of courts in India.

2. Definitions

• "Curvvtech," "we," "us," or "our" refers to Curvvtech, a technology solutions company operating in India.
• "Services" includes our website, custom software development services, SaaS products, client portals, and any related services.
• "User," "you," or "your" refers to any individual or entity accessing or using our services.
• "Content" refers to any data, information, text, graphics, or other materials uploaded, posted, or transmitted through our services.

3. Use of Services

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts under Indian law to use our services. By using our services, you represent and warrant that you meet these requirements.

• Maintain and update your account information

4. Services and Subscriptions

4.1 Custom Software Development Services

When you engage us for custom software development:

• Project terms, deliverables, and pricing will be specified in a separate service agreement
• Payment terms and milestones will be agreed upon before project commencement
• Intellectual property rights will be transferred as per the service agreement
• We reserve the right to refuse service at our discretion

4.2 SaaS Product Subscriptions

For our SaaS products (ClientFlow, AuthStack, OpsSight):

• Subscriptions are billed in advance on a monthly or annual basis
• All prices are in Indian Rupees (₹) and include applicable taxes as per Indian tax laws
• Free trials are available for a specified period (typically 14 days)
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
• No refunds are provided for partial billing periods
• We reserve the right to modify pricing with 30 days' notice

5. Payment Terms

Payment terms for our services:

• All payments must be made in Indian Rupees (₹) unless otherwise specified
• We accept payments through online payment gateways, bank transfers, and other methods as specified
• Payment is due as per the terms specified in your service agreement or subscription plan
• Late payments may result in service suspension or termination
• All prices are exclusive of applicable taxes (GST) unless stated otherwise
• You are responsible for any bank charges or transaction fees

6. Intellectual Property

6.1 Our Intellectual Property

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and designs, are owned by Curvvtech or our licensors and are protected by Indian copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content you upload or submit through our services. By using our services, you grant us a license to use, store, and process your content solely for the purpose of providing and improving our services.

6.3 Custom Development

For custom software development projects, intellectual property rights will be transferred to you upon full payment as specified in the service agreement, unless otherwise agreed.

7. Service Availability and Modifications

We strive to provide reliable services but do not guarantee uninterrupted or error-free operation. We reserve the right to:

• Modify, suspend, or discontinue any service at any time
• Perform maintenance and updates that may temporarily affect service availability
• Change features, functionality, or pricing with reasonable notice
• Limit access to services for users who violate these Terms

8. Limitation of Liability

To the maximum extent permitted by Indian law:

• Our services are provided "as is" and "as available" without warranties of any kind
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for any loss of data, profits, or business opportunities

Nothing in these Terms excludes or limits our liability for death, personal injury, fraud, or any other liability that cannot be excluded under Indian law.

9. Indemnification

You agree to indemnify and hold harmless Curvvtech, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any law or rights of a third party
• Any content you submit or transmit through our services

10. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice, if you:

• Violate these Terms or any applicable law
• Engage in fraudulent, abusive, or illegal activity
• Fail to pay fees when due
• Request account deletion

Upon termination, your right to use our services will cease immediately. We may delete your account and data, subject to our data retention policies and legal obligations.

11. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms:

• We encourage you to contact us first to resolve the matter amicably
• If the dispute cannot be resolved, it shall be subject to the exclusive jurisdiction of courts in India
• These Terms are governed by the laws of India, without regard to conflict of law principles

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or internet failures.
